Cybersecurity provider Proofpoint, owned by Thoma Bravo, has agreed to acquire Varonis Systems for about $6.3 billion in cash, the companies said on October 15.

The agreement sets a cash payment of $49.75 for each Varonis share. The companies said that represents a 52% premium to its closing price on June 22, the day before speculation about a possible sale first emerged.

Varonis shares gained about 2% in extended trading. The Miami-based company provides data security services, including classifying data held in cloud storage and monitoring employee behavior.

Acquisition talks between Proofpoint and Varonis had been disclosed in a September media report. Proofpoint sells software designed to help businesses protect themselves from cyberattacks.

Thoma Bravo agreed in 2021 to take Proofpoint private in a transaction that valued the company at about $12.3 billion.
