UniCredit is expected to hold around 50% of voting rights after the remaining conditions are met, with control of the German bank to follow from 2027.

The European Central Bank has authorized UniCredit to increase its Commerzbank shareholding beyond 30%, without imposing a ceiling on further increases. The approval advances the Italian lender's acquisition of the German bank.

Outstanding regulatory requirements and other conditions for completing the offer are expected to be satisfied in late 2026. Once those steps are completed, UniCredit is expected to have around 50% of Commerzbank's voting rights, allowing it to take control. Control is set to begin from 2027.

UniCredit described the authorization as an important step in the transaction. The bank said the decision reflected a favorable ECB assessment of the deal and confidence in UniCredit's financial foundations and standing in European banking.
