DFO Public Investments, L.P., has agreed to purchase a 1.34% holding in SK Inc from SK Group Chairman Chey Tae-won. An October 14 regulatory filing put the price for the 972,493 shares at 544 billion won ($406 million).

The Delaware-based buyer is affiliated with DFO Management, which manages family investments for Dell Technologies founder Michael Dell. The purchaser is the family fund, not Dell Technologies, which has business ties with SK Group memory chipmaker SK Hynix.

Chey intends to raise 944 billion won from selling shares to fund a divorce settlement for his former wife. An earlier SK Inc filing detailed an agreement covering 1.65 million shares, equivalent to 2.26% of the company. Korea Investment & Securities will buy 681,431 of those shares, a 0.94% holding, for 400 billion won.

Before naming the fund, SK described the other buyer as a strategic investor. The company said that investor's decision reflected an assessment of SK Inc's competitiveness and its growth prospects over the medium to long term.

The independent Korea Corporate Governance Forum said any agreement between Chey and the purchasers to coordinate voting, including an informal understanding, would require disclosure of joint holdings. Nondisclosure would breach South Korea's capital markets law, the watchdog said. It added that potentially aligned interests could lead to the fund being treated as a joint holder with Chey.
